Sample dialogue for signing a contract

B: I just emailed you a draft of the contract. If you have any comments, please let me know.

A: The contract has been read. I’m wondering if we can negotiate some of the contract items.

B: Sure. It’s necessary for us to clarify some important clauses before they are finally included in the formal contract. What kinds of things do you have in mind?

A: I’ve found a few points I’d like to bring up. First, we have to discuss the discounted price. We’ve agreed on cutting down 1.5 dollars for each specification. Shall we write down the specific price in this clause? 

B: OK. In fact, it is covered in the order. If you ask for it, then we can get it in the contract.

A: Should indemnification clauses be included in the contract?

B: OK. We will add the clauses.

B: Please note that the payment will be in accordance with the contract terms and conditions as stated in Paragraph 2 on Page 2.

A: Yes, I know that. Would it be possible for you to deliver by the beginning of next month?

B: That won’t be a problem. In fact, perhaps we can deliver it to you by the end of this month.

A: Great. If there are blanks in the contract, then shall we either fill them in or cross them out?

B: All right. Anything else?

A: Nothing much. I think we’ve more or less covered everything.

B: I think we do have. OK, we’ll amend the draft and then email the contract for your confirmation today.

B: We’ll send you four formal copies of the contract, two in Chinese and two in English. Please sign them and keep two copies, one copy in English and one copy in Chinese, and mail back the rest of the two copies to me.

A: OK. 

B: I really appreciate that. It is a great pleasure doing business with you.

A: It is a pleasure for me too.
